MANAGEMENT TEAM

Jesson Bradshaw, CEO
Jesson is the co-founder, Chief Executive Officer and Chairman of the Board at Fulcrum Power Services. He is responsible for
overseeing financial and strategic decisions, as well as power operations for both the generation side and demand side of the business.
Jesson's ability to lead a talented team of highly experienced energy executives has resulted in Fulcrum becoming one of the newest success
stories in the electrical power industry.
Before establishing Fulcrum, Jesson worked eight years in various senior leadership roles with Dynegy's electricity marketing and fuel teams.
These roles included trading, transmission, generation asset management, and negotiations for long-term purchase agreements with third-party
generators, natural gas and coal supply, and transportation procurement for power generation facilities and emissions trading. His last
position with Dynegy was Vice President of Generation Asset Management and Trading. Prior to his Dynegy years, Jesson gained field
experience in construction oversight and construction safety, while working with Nova Corporation of Alberta, Canada.
A 1995 graduate of the University of Dallas, Jesson holds a bachelor's degree in Economics.


G.P. Manalac, President
G.P. is President and a co-founder of Fulcrum Power Services. His day-to-day responsibilities include managing operations for the renewable
fuel and retail power platforms, and sharing oversight of the company's financial management team. He also manages business development
activities to ensure alignment of the company's marketing strategy with its successful business strategy.
From 1996 until establishing Fulcrum in 2003, G.P. served in several senior leadership roles at Dynegy, during the initial growth period of
the merchant power business. During those seven years, he was Vice President of Generation Asset Management and Trading; and founded and led
Dynegy's power asset management team. He was responsible for managing all commercial decision-making for Dynegy's physical electric assets,
including hedging, bidding, asset optimization, market execution strategy, business management and contract compliance. For each generation
portfolio attained through Dynegy's acquisition of third-party assets, G.P. led the integration and development of initial hedging and
optimization strategies and was recognized by senior management for outstanding financial results. G.P. also founded Dynegy's quantitative
analysis team and was responsible for the valuation of structured power transactions and power generation asset acquisitions.
A 1996 MBA graduate of Rice University, G.P. earned a B.S. in Engineering from Harvey Mudd College in Los Angeles.


Kim Casey, Executive Vice President
Kim is an Executive Vice President and founding partner of Fulcrum Power Services. Her primary responsibilities are business development and
energy management services origination. A respected industry leader, she is an active participant in the regional power and gas markets
across the U.S.
Kim's in-depth leadership experience includes more than 25 years of commercial, regulatory and management experience in the natural gas and
power industries. Prior to Fulcrum, she worked as a Senior Director for Dynegy, where she was responsible for the Texas portfolio comprised
of power generation, wholesale and retail power sales obligations, and third-party asset management services. As an originator and asset
manager, Kim developed good relationships with electric utilities, cooperatives and municipalities in ERCOT and the Southwest Power Pool.
She negotiated, hedged, managed and implemented multi-million dollar solutions to numerous complex operational and contractual matters for
Dynegy and its customers. As a strong advocate for competitive wholesale markets, she was involved in the initial drafting of the ERCOT
Protocols and previously served on the ERCOT Technical Advisory Committee, the Southwest Power Pool Board of Directors and the Gulf Coast
Power Association Board of Directors. Kim also had leadership roles during the restructuring of the natural gas industry with two major
natural gas pipeline companies. Her broad background includes strategic planning, marketing, asset management, business development,
regulatory affairs, regulated ratemaking, and expert witness testimony.
A graduate of Louisiana State University, Kim holds a B.S. degree in Accounting.


Fred Reed, Jr., Executive Vice President
Fred is an Executive Vice President and Limited Partner at Fulcrum Power Services. He is responsible for the growth of the generation side
of the business through development of electric generating facilities, acquisition of existing projects and co-investment in projects
developed by others. Fred's experience in financing, constructing, operating, and acquiring energy projects, as well as his relationships
in the energy industry, coupled with Fulcrum's specific knowledge of optimizing existing generating assets, provides the basis to facilitate
Fulcrum's generation strategy.
As a finance and development professional in the electric energy industry, Fred worked for the independent power company, Cogentrix Energy,
Inc., for 14 years where he financed $777 million of non-recourse project finance debt for coal and gas-fired cogeneration facilities located
in Virginia, North Carolina and Pennsylvania, and developed and financially closed 3,246 MW of gas-fired combined cycle generation located in
Oklahoma, Louisiana and Mississippi. After leaving Cogentrix, he formed JLF Energy, LLC, an energy consulting company, where he assisted
investors with the diligence, negotiation and financial closing of over $2.5 billion for the acquisition of 25 power generation facilities
located in the USA, United Kingdom, Netherlands, Mexico, China, Australia, and the Philippines.
Fred earned his bachelor's degree in Electrical Engineering from Georgia Institute of Technology; his master's degree in Business
Administration from the University of Rochester, William E. Simon Graduate School of Business Administration; and completed the U.S. Navy
nuclear power school and prototype training. Fred served on the USS Grayling, SSN 646, where he completed deployments in the Arctic Ocean
and Mediterranean Sea.


David Zerhusen, General Counsel
Dave is the General Counsel and a Limited Partner at Fulcrum Power Services. He manages all legal activities for the diversified
energy company. Dave's legal expertise has helped guide the rapidly growing company through its formative, early years as an energy start-up
to its current position as a mature and respected player in the energy management industry.
With legal experience at both large law firms and major corporations, Dave has concentrated his practice areas in energy law, corporate law
and litigation. His professional background includes Executive Vice President for Administration and Senior Vice President/Deputy General
Counsel at El Paso Corporation, the largest natural gas company in the United States. Prior to El Paso, Dave served as Vice President of Law
with Tenneco Inc. and Tenneco Energy, in the company's Houston and London headquarters offices. His impressive legal credentials also
include a partnership with a major national law firm and a public law position as Assistant Attorney General for Civil Litigation in the
Office of Attorney General for the State of Maryland.
A summa cum laude graduate of Georgetown University in Washington D.C., Dave received his law degree from The University of Chicago Law
School in 1980. He has taught seminar courses on corporate law at universities located in Eastern Europe, and is a member of the Congress of
Fellows of the Center for International Legal Studies.


Ken Dodgen, CFO
As Chief Financial Officer, Ken is responsible for all accounting and finance activities at Fulcrum Power Services, including all debt and
equity financings, financial reporting, treasury, banking, and mergers and acquisitions.
Prior to joining Fulcrum in 2006, Ken spent 10 years in investment banking with JPMorgan and Merrill Lynch where he focused predominantly on
mergers and acquisitions. He has executed numerous sell-side, leveraged buy-out, recapitalization, and buy-side advisory assignments across
a broad range of industries. Prior to investment banking, Ken was the Assistant Treasurer at Affiliated Computer Services in Dallas, Texas
where he was responsible for debt financings, treasury, and worked on growth acquisitions. He began his career at Coopers & Lybrand in the
audit division.
Community involvement is important to Ken and he currently chairs the Board of the Southside Place Park Association. He has previously
served on the advisory councils for both BioHouston, and the Center for New Ventures & Entrepreneurship at Texas A&M University's Mays
Business School.
Ken is a licensed CPA. He received a BBA in Accounting from Texas A&M University and an MBA from the University of Chicago.
